Cameroon: Socadel inherits a liability of 800 billion and zero goodwill capital

Decrees from the President of the Republic dated May 4, 2026 transform the company Eneo into the Cameroonian Electricity Company ‘SOCADEL’ and establish its very first board of directors.

A decree from the Head of State published on May 4, 2026 transforms Eneo into a public capital company, simultaneously changing its name to Cameroonian Electricity Company (Socadel). With a capital of 43.9 billion CFA francs, far from the 78 billion mobilized for the buyout of Actis shares, Socadel is a company headquartered in Douala. Its sole shareholder is the State of Cameroon.

Another decree, published on May 4, 2026, establishes the members of Socadel’s board of directors. The said board consists of eight known members including Antoine Tsimi, a personality appointed by the President of the Republic; Fidèle Makonda, representative of the Presidency of the Republic; Célestin Chameni Nemboua, representative of the Prime Minister’s services; Adolphe Thom, representative of the Ministry of Water and Energy; Gilbert Didier Edoa, representative of the Ministry of Finance; Ahmat Thom, representative of the Ministry of Economy, Planning and Regional Development; Victor Mbeumi Nyakanga, General Director of Sonatrel; and Théodore Nsangou, General Director of EDC.



The Minister of Water and Energy, Gaston Eloundou Essomba, summons the members of the said board to an inaugural session on May 5, 2026. This session will mark the effective start of SOCADEL’s activities and will be dedicated to setting up governance bodies as well as installing the company’s management team, explains the government member.

The company will start its activities with a liability consisting of Eneo’s debt amounting to 800 billion CFA francs. The legacy also extends to the almost nonexistent goodwill capital acquired by Eneo over the years due to regular and sometimes prolonged power outages in both urban and rural areas, to the detriment of households and businesses. This legacy constitutes a major challenge for Socadel.
